Client Background & Role Summary:

Our client is an in-house company secretarial team providing full spectrum of secretarial services to several listed companies and group of companies. Due to expansion and restructuring, our client needs to build a strong company secretarial team to ensure company compliance and champion and corporate governance matters for these companies

Key Responsibilities:

  • Manage a portfolio of listed and unlisted entities
  • Provide support and assistance to the Group as a whole
  • Have a thorough understanding of regulatory compliance, business processes

Requirements:

  • ICSA qualification
  • An associate member of MAICSA
  • With at least 15 years of relevant experience in handling company secretarial work and statutory requirements with exposure in public listed group of companies
  • Sound technical knowledge and well-versed with statutory requirements such as Companies Act, Bursa Malaysia Listing Requirements, Malaysian Code on Corporate Governance and other rules and regulations
  • A high level of integrity, commitment, initiatives and team player
  • Good interpersonal and communication skills with ability to interact with people of all levels
  • Able to multi-task and work independently in a fast-paced environment, proactive and meticulous
  • Experience in undertaking corporate exercises such as rights issue, ESOS, share buy-back etc.
  • Handle or assist in corporate secretarial matters in compliance with Companies Act 2016, Main Market and Ace Market Listing Requirements of Bursa Malaysia Securities Berhad, Malaysian Code on Corporate Governance and other statutory requirements
  • Organising, coordinating and attending Board, Board Committees and shareholders meetings including preparation of board papers, reports and timely preparation of minutes for those meetings
  • Preparation and drafting announcements to Bursa Malaysia Securities Berhad or other disclosure to the authorities from time to time
  • Preparation of Annual Report, Circular/Statement to Shareholders
  • Provide timely advice and support to the Board and management in relation to the provisions in the Companies Act, Listing Requirements, Corporate Governance practices and other rules and regulations
  • Ensure proper maintenance of statutory records and timely filing of statutory returns with authorities
  • Any other ad-hoc duties and secretarial assignments as may be assigned from time to time
  • Supervise and provide guidance to subordinates
